We are Joyzora (“Company,” “we,” “us,” “our”), a company registered in the United Arab Emirates (UAE) at JLT Cluster A, Lakeside Residence, Floor 6, No. 601, Dubai, UAE.

We operate the website joyzora.com (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Joyzora, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. Your submissions and contributions:

confirm that you have read and agree with our “PROHIBITED ACTIVITIES” and will not post, send, publish, upload, or transmit through the Services any Submission nor post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution;
warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions; and

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

We may remove or edit your Content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities

By accessing and using the Services, you represent and warrant that:

  • All registration information you provide will be truthful, accurate, current, and complete.
  • You will maintain and promptly update such information as necessary to ensure its continued accuracy.
  • You have the legal capacity to enter into and comply with these Terms.
  • You are at least 16 years of age (or the age of majority in your jurisdiction of residence).

You may be required to create an account in order to access and use certain features of the Services. When registering, you agree to keep your login credentials, including your password, strictly confidential and acknowledge that you are fully responsible for all activities conducted under your account.

We reserve the right, at our sole discretion, to remove, reclaim, or modify any username you create if we determine that it is inappropriate, misleading, obscene, or otherwise objectionable.

We make every reasonable effort to display the colors, features, specifications, and details of our products as accurately as possible on the Services. You own or have all necessary rights, licenses, and permissions to use and share your Contributions as described in these Terms.

Your Contributions do not infringe on the intellectual property, privacy, or publicity rights of any third party.

Any identifiable individuals featured in your Contributions have provided their consent to such use.

Your Contributions are accurate, not misleading, and do not contain unlawful, harmful, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable material.

Your Contributions do not include unauthorized advertising, spam, chain letters, pyramid schemes, or other forms of solicitation.

Your Contributions comply with all applicable laws, including those relating to the protection of minors.

Any Contributions made in violation of these requirements will constitute a breach of these Terms and may result in suspension or termination of your access to the Services.

By posting Contributions on the Services, you grant us a worldwide, non-exclusive, transferable, royalty-free, fully paid, perpetual, and irrevocable license to use, reproduce, display, distribute, store, adapt, and create derivative works from your Contributions in any format or media, now known or later developed, for any lawful purpose, including commercial and advertising use. This includes the right to sublicense such rights.

You retain ownership of your Contributions and any intellectual property rights associated with them. However, by submitting Contributions, you waive any moral rights and confirm that you have the authority to grant this license.

We are not responsible for any statements or materials included in your Contributions. You remain solely responsible for your content and agree not to hold us liable for any claims related to it.

We reserve the right, at our sole discretion, to edit, re-categorize, or remove Contributions at any time, without notice, and without any obligation to monitor user content.

We may provide areas on the Services where users can leave reviews or ratings. When posting a review, you agree to follow these guidelines:

  • Reviews must reflect your firsthand experience with the product, service, or entity being reviewed.
  • Reviews must not contain profanity, abusive, racist, hateful, or otherwise offensive language.

By posting a review, you grant Joyzora a perpetual, worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, adapt, translate, distribute, publish, and display your review in any format or medium, now known or later develope

We reserve the right, but not the obligation, to:

Monitor the Services for compliance with these Legal Terms.

Take legal action, at our discretion, against any user who violates the law or these Terms, including reporting such activity to law enforcement.

Refuse, restrict, or disable access to any Contributions or portions thereof, without notice and at our sole discretion.

Remove or disable files and content that are excessive in size or otherwise place an undue burden on our systems.

Manage the Services in a manner that protects our rights, property, and users, and ensures the proper operation of the Services.

Please note that the Services are hosted in the United Arab Emirates (UAE). If you access the Services from a region with data protection laws or requirements that differ from those in the UAE, you acknowledge and agree that, by continuing to use the Services, your data will be transferred to and processed in the UAE. These Legal Terms remain in effect for as long as you use the Services. Without limiting any other provision herein, we reserve the right, at our sole discretion and without prior notice or liability, to deny access to or use of the Services (including by blocking certain IP addresses) to any person, for any reason or no reason, including but not limited to breaches of these Legal Terms or any applicable law or regulation. We may also, at our sole discretion, terminate your account, suspend your access, or delete any content or information you have posted, at any time and without warning.

If your account is suspended or terminated, you are strictly prohibited from registering or creating a new account under your own name, a false identity, or the name of any third party, even if acting on their behalf.

In addition to suspension or termination, we reserve the right to pursue any and all appropriate legal remedies, including civil, criminal, and injunctive action.

We reserve the right to modify, suspend, or discontinue the Services, in whole or in part, at any time and at our sole discretion, without notice. While we strive for accuracy, we are under no obligation to update information provided through the Services, and we will not be liable for any modification, price change, suspension, or discontinuance.

We do not guarantee that the Services will always be available or uninterrupted. Technical issues, maintenance, or other factors may cause delays or downtime. You agree that we are not liable for any loss, damage, or inconvenience arising from your inability to access or use the Services during such times.

These Legal Terms are governed by and construed in accordance with the laws of the United Arab Emirates (UAE). You and Joyzora agree that the courts of the UAE shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

To help resolve disputes quickly and cost-effectively, you and Joyzora agree to first attempt to resolve any dispute, controversy, or claim arising under these Legal Terms (“Dispute”) through informal negotiations for at least 30 days before initiating formal proceedings. Negotiations will begin upon written notice from one Party to the other.

Binding Arbitration

If a Dispute cannot be resolved through informal negotiations, it shall be finally settled by binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC), seated in Dubai, United Arab Emirates. The arbitration shall be conducted in English, before a panel of one arbitrator, unless the Parties agree otherwise. The governing law shall be the substantive law of the United Arab Emirates (UAE).

Restrictions

Arbitration will be limited to the individual Dispute between you and Joyzora. To the fullest extent permitted by law:

No arbitration may be joined with another proceeding.

Disputes may not be arbitrated on a class-action basis.

You may not bring a Dispute in a representative capacity on behalf of the general public or others.

Exceptions

The following Disputes are excluded from informal negotiation and binding arbitration:

Claims relating to the enforcement or validity of a Party’s intellectual property rights.

Claims arising from allegations of theft, piracy, invasion of privacy, or unauthorized use.

Claims for injunctive relief.

If this arbitration provision is held to be illegal or unenforceable, such Disputes shall be decided exclusively by the courts of the United Arab Emirates, as set forth in the Governing Law section above.

The Services may occasionally contain typographical errors, inaccuracies, or omissions, including in product descriptions, pricing, or availability. We reserve the right to correct any such errors and to update or change information on the Services at any time, without prior notice.

The Services are provided on an “as-is” and “as-available” basis. Your use of the Services is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be accurate, complete, reliable, or error-free, or that they will be free of viruses or harmful components. We assume no liability for:

  • Errors, inaccuracies, or omissions in content or materials.
  • Personal injury or property damage resulting from your use of the Services.
  • Unauthorized access to or use of our secure servers or stored information.
  • Interruptions, delays, or failures in transmission.
  • Viruses, malware, or similar harmful code transmitted through the Services by third parties.

Any dealings with third-party providers are solely between you and that provider, and you should exercise caution and good judgment before making any purchase or transaction.

To the fullest extent permitted by law, Joyzora and its directors, employees, and agents shall not be liable to you or any third party for any indirect, consequential, incidental, special, punitive, or exemplary damages, including loss of profits, revenue, data, or other intangible losses, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Joyzora, its affiliates, and their respective officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Contributions
  • Your use of the Services
  • Your breach of these Legal Terms or of any representation or warranty
  • Your violation of the rights of a third party (including intellectual property rights)
  • Any harmful act committed by you against another user of the Services

We reserve the right, at your expense, to assume exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate with such defense. We will make reasonable efforts to notify you of any claim, action, or proceeding subject to this clause upon becoming aware of it.

We may maintain certain data that you transmit to the Services for operational purposes and to improve performance. While we perform routine backups, you are solely responsible for any data you transmit or that relates to your use of the Services.

We are not liable for any loss, corruption, or inaccessibility of such data, and you waive any right to bring claims against us arising from these circumstances.

By visiting the Services, sending us emails, or completing online forms, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications provided to you via email or through the Services satisfy any legal requirement that such communications be in writing.

You also agree to the use of electronic signatures, contracts, orders, and records, as well as the electronic delivery of notices, policies, and transaction records initiated or completed through the Services. You waive any rights under laws requiring original signatures, paper records, or non-electronic payment methods.

These Legal Terms, together with any policies or rules posted on the Services, constitute the entire agreement between you and Joyzora. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.

We may assign our rights and obligations under these Terms at any time. We are not liable for delays, losses, or failures caused by events beyond our reasonable control.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed without affecting the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship exists between you and Joyzora as a result of these Terms or your use of the Services.

These Terms will not be construed against us as the drafter. You waive any defenses related to the electronic form of these Terms or the absence of a physical signature.
